I wil have to look up for equivalents of Zicom. There are many players in US. Will find some comparable listed players.

About in-house kiosks at retail outlets.. I have seen Starbucks & Wells Fargo bank kiosks in Vons/Safeway Chain. McDs, Money Transfer & some bank in Walmart, Verizon Kiosks in Costco.. Will have to get more details on the model they operate in. Any idea how to find out that info ?

Basantji,
  There are companies like ADP, Brinks Securities doing Home security, survillence, commercial security, CCTV etc..

Brinks Home Security is a part of Brinks Company inc. Not able to get much information on this. But this is what the Home Security division made in 2006

2006 revenue : $439 M
Op profit : $100 M
Op profit Margin : 22.8%

They have been growing in low double digits & higher single digits for past 5 yrs.

We won't be able to compare the penetration of home security systems between US & India.

Need to make a reality check for India.

Have you seen any new apartments coming up with such security systems? Any general need for it arising in the public ?

Of the TEDdies how many of you already have or intend to purchase a home security system ?

I had personally thought of purchasing and when I got a quote for about 15k I went a bit slow on it. The porblem is that like me most people would put it up the moment there is a burglary in the neighbourhood/own house etc. But business and commercial establishments are installing such gadgets for sure.

Basantji,
 I am trying to get the importance of RoCE. It is only 14% for this company. Also its Operating profit margin is 16%.  But it is able to give a EPS growth of 30%.

I know RoCE of 14% is bad. But how bad is it ? Is there a yardstick ? This company is not in a capital intensive business , So should we expect a higher RoCe if it is managed well ?

Normally irrespective of the whether a company is in capex biz model or not ROCE should be more then 18% but maybe this company could have underutilized assets where ramp up has not happened or taken some advertisment expenditure so we could make a one time allowance.;

Zicom Electronic Security Systems Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 02, 2007, has considered and approved purchase of 100% shareholding in Zicom Global Security Pvt Ltd ("Zicom Global"), whose name will be suitably charged to reflect the business of Consumer Service (Retail) Group of the Company. The Board of Directors has also considered and approved the Scheme of Arrangement ('Scheme') pursuant to section 391 to 394 and other applicable provisions of the Companies Act, 1956 for transfer of its Consumer Service (Retail) Group Business to the said subsidiary on a going concern basis.

Salient features of the Scheme as under:

- The Appointed Date for the Scheme is April 01, 2007.

- The Company would transfer its business related to Consumer Service Group to its subsidiary for cash consideration.

- After completion of necessary formalities related to transfer of business of Consumer Service Group of the Company, the Zicom Global would continue to remain 100% subsidiary of the Company and its result would be consolidated along with the Company's results.

- The Scheme is subject to all requisite consents, approvals of the requisite majority of the shareholders, the Hon'ble High Court of Judicature at Bombay, concerned Stock Exchanges, the permission or approval of any other statutory or regulatory authorities, which by law may be necessary for the implementation of the Scheme.

Further the Company has informed that, the Board has appointed KPMG India Pvt Ltd, to advice the Company on the above transaction.

But promoters stake has decreased in last 5 years?
 
A big cause of worry.
 
Promotors stake has been fluctuating.
 
Could they be trusted?
